1. The Service & plans

1.1 1Digital® provides a multi-tenant content-management and (on hosted plans) hosting platform. Each customer ("Customer") occupies an isolated tenant.

1.3 Allowances reset each billing cycle and do not roll over. Generous publishing allowances on pages and posts are subject to the Fair Use Policy.

1.4 CMS Page Limits. Each plan includes a maximum number of published CMS pages (standalone pages outside the blog collection). Pages beyond the plan limit are blocked from publishing unless the Customer upgrades to a higher tier. White-Glove (Premium) customers may publish additional pages above the 50-page plan limit at $15 per additional page per month, up to a maximum of 75 published CMS pages; above 75 pages, a custom quote is required. Blog posts (entries in the blog collection) are not counted toward CMS page limits. Limits are enforced at the time of publishing.

2. Fees, overage & add-ons

2.2 Usage billing & consent. Customer is notified at 80% and 100% of any allowance. Overage above 100% is billed automatically at the rates above; Customer consents to this at signup. Customer may set a monthly AI-overage cap, beyond which AI actions pause until the next cycle or the cap is raised.

2.3 Right to upgrade in lieu of overage. Where a tenant materially or repeatedly exceeds an allowance, we may, on 30 days' notice, move the tenant to a higher tier or to custom pricing instead of, or in addition to, charging overage.

2.4 Taxes are the Customer's responsibility where applicable.

2.5 Digital marketing campaigns (campaign packages & campaign add-ons). Campaign packages and campaign add-ons are optional digital-marketing services sold separately from the plans in §1. Recurring campaign packages and recurring campaign add-ons bill monthly on a 6-month minimum term. The campaign subscription continues billing through the end of that 6-month term and cannot be cancelled during the term. After the term it continues month-to-month and may be cancelled at any time, effective at the end of the current paid month, via the click-to-cancel paths in §3.9. Cancelling a campaign does not affect the Customer's WorkspaceCMS plan.

All digital marketing campaign fees — campaign packages and campaign add-ons, recurring and one-time — are non-refundable. The 30-day money-back guarantee in §3.2a applies to WorkspaceCMS plans only and does not apply to campaign packages or campaign add-ons. One-time campaign add-ons are billed in full at purchase and are non-refundable once work begins.

Campaign purchases are completed electronically. Checkout requires the Customer's electronic acceptance of these Terms, including a typed signature, which the Customer agrees constitutes a binding electronic signature under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.) and the Florida Uniform Electronic Transaction Act (Fla. Stat. §§668.50 et seq.). 1Digital® records the acceptance per §3.10.

3. Term, renewal, cancellation

3.1 Renewal. Monthly plans renew monthly; annual plans renew annually. Annual auto-renews at the then-current rate unless cancelled before the renewal date; we send a renewal reminder 30 days before.

3.2 Cancellation by Customer. You may cancel at any time via the click-to-cancel paths in §3.9. After the 12-month Initial Term, cancellation takes effect at the end of the current paid period and no refunds are issued for any unused portion of a paid period (other than as expressly provided in §3.2a and §7.2). Cancellation during the 12-month Initial Term triggers §3.7.

3.2a 30-day money-back guarantee. If the Customer cancels within 30 days of their first payment on their first WorkspaceCMS plan, we will refund that first payment in full and the cancellation will not trigger the early-cancellation build-fee recovery in §3.7. The guarantee applies once per Customer, to the first payment on the Customer’s first plan only; it does not apply to renewals, plan changes, add-ons, or usage charges. If the Customer paid annually, the guarantee refund covers the entire annual prepayment. On a guarantee refund, the Service ends immediately, any in-progress or delivered free build remains our property under §3.5, and hosted sites are handled per §3.6.

3.3 Price changes. We may change plan pricing and usage/overage rates on 30 days' notice. Annual plans keep their locked rate until the end of the current prepaid term.

3.4 Annual prepayment (optional). Annual billing is an optional cadence at signup; the default is monthly autopay. Stated prices assume card payment; Customers who pay by ACH bank debit (US bank account) receive a 3% discount applied automatically to their invoices. Annual prepayment does not change the 12-month Initial Term commitment in §3.5 or the early-cancellation build-fee recovery in §3.7. Any amount actually prepaid annually is non-refundable for any reason, including early cancellation, change of mind, or dissatisfaction with the Service. Cancellation under §3.2 stops auto-renewal at the end of the prepaid term and does not entitle the Customer to any refund of amounts already paid. The sole exception is §7.2 (termination by us for convenience), where we refund the prepaid unused portion calculated on a pro-rata daily basis.

3.5 Included build (free with 12-month commitment). Every paid plan (Essentials, Growth, or Premium) includes one free professionally built website at the included page count: 3 pages on Essentials, 7 pages on Growth, and 12 pages on Premium, subject to the terms in the Free Website Build — Offer Terms section below. The build is provided in consideration of the 12-month Initial Term commitment and is funded by that commitment — not by any annual prepayment. Annual prepayment is optional (§3.4) and does not change this consideration. If the Customer cancels before completing the 12-month Initial Term, the early-cancellation build-fee recovery in §3.7 applies. Pages beyond the included count are scoped and custom-quoted on the guided dashboard setup — they are not part of the free build credit. The free build credit covers a new build or a takeover/rebuild of a standard marketing website at the plan's included page count and monthly price; e-commerce sites, custom functionality, third-party integrations, and data migrations are outside scope and require a separate written quote. The free build is a one-time deliverable, has no separate cash value, and cannot be transferred, exchanged, refunded, or credited toward other Services under any circumstances.

3.6 Cancellation effect on hosted sites. On cancellation or non-renewal of a hosted plan, hosting of the live site ends and the site is taken offline at the end of the paid period. Continued public availability of the site requires an active subscription. See §9 for what the Customer can export and take with them.

3.7 Early-cancellation build-fee recovery. The free website build under §3.5 has a published retail value of $1,500 (Essentials), $2,500 (Growth), or $4,500 (Premium). These amounts reflect the professional-services hours and materials 1Digital® delivers up front — design, build, content production, SEO baseline, launch — at our standard agency rates. 1Digital® delivers the build before the Customer pays the full value of those services back through monthly fees over the 12-month Initial Term. If the Customer:

the waived one-time build fee for the Customer's plan becomes immediately due and may be charged to the payment method on file under the recurring-payment authorization in §3.3 and the checkout consent the Customer accepted at signup. This fee is intended to recover the actual value of the build work already delivered to the Customer and is not a penalty. If a court of competent jurisdiction characterizes this amount as liquidated damages rather than recovery of value delivered, the parties acknowledge that (i) actual damages from early cancellation are difficult to calculate, (ii) the amounts above represent a reasonable good-faith pre-estimate of those damages agreed at the time of contracting, and (iii) the amounts are not disproportionate to the anticipated or actual harm. No early-cancellation build-fee recovery applies after the Customer has completed the 12-month Initial Term. Suspension under §8 for non-payment does not pause or reduce the Initial Term. 1Digital® reserves the right to waive collection of this fee in its sole discretion; any such waiver is not a course of dealing and does not modify these Terms.

3.8 Grandfathering — prior Terms cohort. These Terms are versioned. Terms v2.0, effective June 26, 2026, govern all subscriptions starting on or after that date. Subscriptions that began before June 26, 2026 remain governed by Terms v1.x (the version in force at the time of their signup), specifically: non-refundable annual prepayment under the prior §3.4 and no early-cancellation build-fee recovery under §3.7. A Customer in the v1.x cohort who voluntarily changes plan tier on or after the cutover date may, at the Customer's option:

The Customer's choice must be confirmed in writing (electronic acceptance via the dashboard or email is sufficient) before the plan change takes effect. Any amendment to v1.x Terms made after the cutover date applies only to the v1.x cohort and only if expressly stated in the amendment.

3.9 Cancellation simplicity (click-to-cancel). Consistent with the federal click-to-cancel rule (16 C.F.R. Part 425), the Customer may cancel through (i) the cancellation form in the Customer's dashboard, (ii) email to hello@workspacecms.ai, or (iii) any other reasonable written method including a written notice to the address in §13.5. 1Digital® will acknowledge a cancellation request within one (1) business day. 1Digital® will not require the Customer to speak with a representative, complete a retention call, or take additional steps beyond identity confirmation before honoring the cancellation request. Cancellation during the 12-month Initial Term triggers §3.7. Cancellation after the Initial Term ends the subscription at the close of the current billing period; partial months are not pro-rated. The same paths apply to digital marketing campaign subscriptions under §2.5: once a campaign’s 6-month minimum term is complete and the campaign is month-to-month, the Customer may cancel it the same way — including the Cancel action in the Customer’s dashboard — effective at the end of the current paid month per §2.5.

3.10 Electronic acceptance & recordkeeping. The Customer consents to electronic delivery and signature of these Terms. Completion of the signup checkbox at workspacecms.ai/signup or any successor signup surface constitutes electronic acceptance under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.) and the Florida Uniform Electronic Transaction Act (Fla. Stat. §§668.50 et seq.). 1Digital® records the Customer's IP address, timestamp of acceptance, and Terms version at the moment of acceptance and retains that record for the longer of seven (7) years or the duration of the subscription plus three (3) years. The Customer may request a copy of their acceptance record at any time by emailing hello@workspacecms.ai.

Free Website Build — Offer Terms

Every paid plan (Essentials, Growth, or Premium) includes one free professionally built website at the included page count: 3 pages on Essentials, 7 pages on Growth, and 12 pages on Premium. The free build is provided in consideration of the 12-month Initial Term under §3.5. No marketing campaign is required, and no annual prepayment is required — monthly billing is the default, annual is optional. This offer is available while build capacity allows and may be withdrawn at any time for new signups.

Free Build Scope

The free build covers a new website build, or a takeover/rebuild of a standard marketing website — a semi-custom WorkspaceCMS site built from one of our reference designs, fitted with the customer's content, brand assets, and SEO foundation, at the plan's included page count. The following are explicitly excluded from the free build and require a separate quote evaluated and scoped in writing via your dashboard questionnaire before any work begins:

If your project requires any of the above, our team will scope and quote it separately in writing — nothing starts without a written quote you've approved.

Build Scope & Revisions

These builds are semi-custom — not fully custom. The process works as follows: after signup, the Customer receives an intake questionnaire in the WorkspaceCMS dashboard. The Customer provides the pages they want, 2–3 reference sites, brand assets, and any simple integrations needed from the WorkspaceCMS built-in library. 1Digital® builds from a reference design tuned to the Customer’s industry based on those answers. No mockup phase, no Figma or Adobe design rounds. A free build includes one (1) round of revisions after delivery. Additional revision rounds, expanded scope, or any customization beyond the built-in integration library are scoped, quoted, and billed separately at 1Digital®’s then-current rates before any additional work begins. Customers requiring a fully custom design engagement — including custom Figma mockups, bespoke feature development, or multiple revision rounds — should contact 1Digital® for a custom quote, which is priced separately from any WorkspaceCMS plan. Build Timeline

Target timelines: 3-page Essentials builds: 30 days; 7-page Growth builds: 2 weeks*; 12-page Premium builds: 2 weeks*. Target for standard builds. Integrations, custom design work, or delays in client assets/approvals can extend timelines. Targets, not guarantees.

No Cash Value — No Refund

The free build has no separate cash value and cannot be converted to a credit, discount, or refund. It is provided in consideration of the 12-month Initial Term commitment under §3.5. Cancellation of the subscription does not entitle the customer to any refund, credit, or cash equivalent of the build. If cancellation occurs before the end of the Initial Term, the early-cancellation build-fee recovery in §3.7 applies.

Active Subscription Required

Free builds are delivered on and require an active WorkspaceCMS subscription on any plan (Essentials, Growth, or Premium), billed monthly or annually. The free build is not transferable to another platform or customer.

7. Suspension & termination

7.1 By us, for cause, immediate, no refund: AUP violation (§6); non-payment (§8); chargeback on valid charges; security or stability risk to the platform or other tenants; or risk of upstream account suspension.

7.2 By us, for convenience: on 30 days' notice; for annual plans terminated by us for convenience, we refund the prepaid unused portion. (This refund is what keeps the for-convenience right clean and enforceable.)

7.3 Effect. On termination, access ends and the data-retention clock (§9) starts. For-cause termination forfeits any prepaid amounts.

8. Payment & non-payment

8.1 Charges are billed in advance. On a failed payment we retry up to 3 times over 7 days and notify the Customer.

8.2 If unpaid by day 10, we may suspend the tenant (site goes to a maintenance state). If still unpaid by day 30, we may terminate and begin deletion under §9. Reactivation requires settling the balance plus the $49 reactivation fee.

8.3 A chargeback on valid, undisputed charges may result in suspension pending resolution.

9. Customer ownership, export & platform IP

9.1 Customer ownership. The Customer owns their content, media assets, redirect data, and domain. 1Digital® claims no ownership interest in customer-supplied or customer-created content.

9.2 Self-serve export. The Customer may self-export content (HTML and JSON), media (raw files), and redirects (CSV) at any time during the subscription and during the post-cancellation retention window in §10.

9.3 What export is not. Export delivers customer content and assets in portable formats so the Customer can take them elsewhere and rebuild. Export does not include, and is not equivalent to: a one-click deployable copy of the live WorkspaceCMS site; the WorkspaceCMS platform, admin, page-rendering framework, templates, or dynamic features; or any hosted runtime. This is consistent with how every managed website platform handles export (Squarespace, Wix, and Shopify operate the same way).

9.4 Platform & IP. The WorkspaceCMS platform — including the admin, the page-rendering framework, templates, dynamic features, design system, and the hosting environment — is the property of 1Digital® and is licensed, not sold, to the Customer for use during an active subscription. Export of customer content and assets does not constitute delivery of a functioning website, a copy of the platform, or any license to the platform. The Customer is responsible for hosting and reassembling exported materials on their own infrastructure.

9.5 Domain. The Customer's domain is always the Customer's. 1Digital® does not own or hold the Customer's domain registration; we configure DNS for hosted plans, and DNS control returns to the Customer on cancellation under §3.6.

10. Data retention & deletion

10.1 Retention window. Customer data is retained for 30 days after cancellation or termination for re-import or final export. After the retention window, customer data is permanently deleted from active systems and from backups on their scheduled cycle.

10.2 Privacy & data flow details are on the dedicated Privacy Policy page, and are summarized for the active tenant in the in-app Settings → Usage view.

11. Warranties, results disclaimer & liability

11.1 No guarantee of results. We provide tools and services to support search and AI visibility. We do not guarantee any specific ranking, traffic, indexing, AI-engine mention, conversion, or revenue. Search and AI engines are controlled by third parties.

11.2 "As is." Except as expressly stated, the Service is provided "as is" and "as available," and we disclaim implied warranties to the maximum extent permitted by law.

11.3 Third-party dependencies. The Service depends on third-party providers (Vercel, Supabase, AI providers, DNS, payment) whose availability, terms, and pricing are outside our control and may require changes to the Service.

11.4 Limitation of liability. To the maximum extent permitted by law, our aggregate liability is capped at the fees the Customer paid in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or lost profits, revenue, goodwill, or data. (This cap does not purport to limit liability that cannot be limited by law, such as for gross negligence, fraud, or willful misconduct.)

11.5 Feature evolution. AI and platform features evolve continuously as the underlying technology changes. We may add, modify, or retire features at any time as technology, third-party providers, or operational requirements shift — this is beyond our control and not a breach of these Terms. When new features are introduced, customers automatically receive those that are added to their specific plan tier at no additional charge. Plan tier governs what is included: a feature added to the Premium tier is not automatically extended to Essentials or Growth customers. We do not promise or guarantee the delivery of any future feature; any roadmap or planned improvement communicated is for informational purposes only and does not constitute a commitment. We may, at our discretion, provide additional features or enhancements at any time. We are not liable for changes to capabilities resulting from third-party AI provider updates or the general evolution of the technology landscape.

11.6 Site content accuracy. We make reasonable efforts to keep website feature descriptions, comparisons, and marketing materials current, but technology moves fast and published content may not reflect the latest platform state at all times. Current plan capabilities are governed by these Terms and the live platform, not the website. We are not liable for reliance on website content that has become outdated due to platform or industry changes after the date of publication.

12. Partner & referral programs

12.1 Partner Program (10% commission). The Partner Program is for agencies, creators, consultants, and other third parties who refer new businesses to WorkspaceCMS. An approved partner earns 10% of each referred customer's first-year plan value, paid via Stripe after the referred customer's payment clears. No caps, no minimums.

12.2 Partners must not be customers — no self-serving. The 10% commission is available only to partners who are not current WorkspaceCMS clients. It can never be earned on your own account, your own subscription, or a self-referral (a referral whose email or billing identity matches the partner), and any such referral is void. A current client who wants to refer others uses the Client Referral Program in 12.3 — not the Partner Program.

12.3 Client Referral Program (free months). Active WorkspaceCMS subscribers earn one free month per referred business that subscribes and pays, credited to the end of the referrer's current term. The client program pays free months, not cash, and has no cap on the number of months earned.

13. General

13.1 Acceptance. Use of the Service constitutes acceptance of these Terms, the AUP, the Fair Use Policy, the SLA, and the Privacy Policy. We record the version and timestamp of acceptance at checkout.

13.2 Changes. We may update these Terms on 30 days' notice for material changes; continued use constitutes acceptance.

13.3 Governing law / disputes. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Miami-Dade County, Florida, and each party consents to that jurisdiction. This matches the venue clause in the 1Digital® Agency master terms at 1digitalagency.com/terms-conditions.

13.4 Entire agreement; severability. If any provision is unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary.

13.5 Notices. Notices to 1Digital® should be sent to info@1digitalagency.com or to 1Digital® Agency Inc., 14261 SW 120th St, Suite 108-337, Miami, FL 33186. Notices to the Customer are sent to the email on the account.
